Terms of Service

1. Agreement to Terms

By subscribing to Coda Guild and accessing its materials, operated by Morning Strategy, you agree to comply with and be bound by these Terms of Use (“Terms”). If you do not agree, you must not access or use our services.

2. Service Description

Coda Guild provides subscribers with access to custom Coda doc templates for personal or business use only. Subscribers are prohibited from copying, redistributing, reselling, or otherwise exploiting the templates or associated materials for commercial gain or unauthorized use.

3. Intellectual Property Rights

All templates, tools, workflows, and materials provided through Coda Guild are the exclusive intellectual property of Morning Strategy. By subscribing, you are granted a limited, non-exclusive, non-transferable, revocable license to use these materials for personal or internal business purposes.

You agree not to:

Share, distribute, sell, or resell any templates or materials to third parties.

Claim ownership of any materials provided by Coda Guild.

4. Subscription Terms

Payment: Subscription fees are billed monthly or annually, as selected during purchase. Fees are non-refundable except as outlined in our satisfaction guarantee.

Satisfaction Guarantee: If you are not satisfied within the first 30 days of your subscription, we’ll provide a full year of tool access at no additional cost.

Cancellation: You may cancel your subscription at any time. Access to templates and materials will terminate at the end of your billing cycle.

5. Prohibited Uses

You agree not to:

Use the templates or materials in violation of applicable laws.

Remove, obscure, or modify any copyright or proprietary notices on the templates.

Share your login credentials or subscription access with others.

6. Enforcement and Remedies

Morning Strategy reserves the right to suspend or terminate access to Coda Guild if you violate these Terms. Unauthorized use of our materials may result in civil and/or criminal liability under applicable copyright laws. We reserve the right to seek damages and injunctive relief.

7. Dispute Resolution

This Agreement is governed by the laws of Newfoundland and Labrador, Canada. Any disputes shall be resolved through arbitration in St. John’s, NL, unless both parties agree to another method of resolution.

8. Disclaimer of Warranties

Coda Guild and all materials are provided “as-is” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted access or that the templates will meet your specific requirements.

9. Limitation of Liability

Morning Strategy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues arising from your use of Coda Guild, even if we have been advised of the possibility of such damages.

10. Privacy Policy

We collect and store basic user information (e.g., name, email, subscription preferences) solely for the purpose of providing Coda Guild services. We do not sell or share your personal information with third parties except as required by law.

11. Modifications to Terms

Morning Strategy reserves the right to update these Terms at any time. Subscribers will be notified of significant changes, and continued use of Coda Guild after such updates constitutes your acceptance of the revised Terms.

12. Force Majeure

We are not responsible for delays or failures in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, server outages, or government actions.
